Terms of service

Last updated:

These terms are an agreement between you and Inspirnex LLC ("Inspirnex", "we", "us"). They apply to tallira.app and to the Tallira software and services. If you accept them for a business, you confirm that you may bind that business, and "you" means the business.

When you buy Tallira, your quotation is part of this agreement. Where your quotation, or an agreement we both sign, says something different from these terms, the quotation or signed agreement wins.

1. Who we are

Tallira is a product of Inspirnex LLC. Write to us at hello@tallira.app.

2. Using tallira.app

  • The site describes Tallira and lets you book a demo. Nothing on it is an offer to sell; an offer is a quotation we send you.
  • The photographs show typical counters, not our customers. The receipts and screens over them are samples, and their details are illustrative.
  • Do not attack, overload or probe the site, send spam or false enquiries through its form, or copy its content to pass off as your own.

3. Buying Tallira

  • After a demo we send a quotation. It sets out the edition, the number of branches and registers, whether Tallira runs on your own PC or in the cloud, what is included, the fees and how long the quotation is valid.
  • You accept a quotation by confirming it in writing or by paying it.
  • Fees are due as your quotation says and do not include VAT or other taxes unless it says so.
  • Fees are not refundable once your licence is activated or your cloud instance is set up, except as section 10 provides or your quotation says.

4. Your licence

We grant you a licence to use Tallira in your own business, for the branches and registers in your quotation. We do not sell you the software; Inspirnex owns it, and every right we do not grant here stays with us.

  • On your own PC. A one-time licence for the business and the PC it is issued to. It does not expire. It cannot be shared or copied to another PC; if you replace the PC, ask us and we move the licence.
  • In the cloud. A subscription for the period in your quotation, usually a year, renewed when you pay for the next period. If you do not renew, the registers stop issuing invoices when the period you paid for ends, after any grace period your quotation gives. Your records stay yours to export (section 6).
  • Updates. New versions, including changes for ZATCA's new rules, are included for the period your quotation says. A cloud subscription always includes them. On your own PC, when that period ends, the version you have keeps working, but it gets no further updates until you renew your update plan. If ZATCA changes its rules in the meantime, that version may no longer meet them.
  • Trials. If we give you a trial, it lasts as long as we tell you in writing, and these terms apply to it.

You may not resell, rent or sublicense Tallira, remove its notices, reverse engineer it except as the law allows, or use it to break the law.

5. Your responsibilities

Tallira issues and reports your invoices; your tax obligations remain yours. You are responsible for:

  • your VAT registration, your onboarding with ZATCA, and the items, prices and VAT rates you enter;
  • keeping your records for as long as the law requires, which on your own PC means keeping the PC and its backup folder safe;
  • staying on a version that meets ZATCA's current rules, when Tallira runs on your own PC;
  • the PC, printer, scanner, internet connection and card terminal you use with Tallira, unless your quotation says we supply them;
  • who you give a sign-in to, and what they do with it;
  • having a lawful basis for the personal data you enter about your customers and staff.

Tallira does not give tax or legal advice. Tallira is not made or endorsed by ZATCA.

6. Your data

Your sales, invoices, items, staff and customer records are yours. On your own PC they stay with you. In the cloud we keep them in your own instance, back them up, and process them only as our privacy policy describes. You can export them at any time.

When a cloud subscription ends, you can still ask for a full export for 90 days. After that we delete your instance, telling you before we do, unless your quotation provides for longer storage or the law requires us to keep the records.

7. Support and availability

  • We support you as your quotation describes.
  • We work to keep cloud instances available at all times, but we do not promise uninterrupted service unless your quotation does. We may pause an instance briefly for maintenance, and we tell you first when we can.
  • ZATCA's Fatoora platform, Cloudflare, your internet provider and your hardware are outside our control. When the internet or Fatoora is down, the register keeps selling and reports the invoices when the connection is back.

8. Suspension and ending

  • You can stop using Tallira at any time. Fees you have already paid are not refunded unless your quotation says so.
  • If you do not pay an invoice from us when it is due, we may withhold the licence or renewal it pays for, after telling you. We issue it when you pay.
  • Either of us may end this agreement if the other seriously breaks it and does not put it right within 30 days of being told.
  • We may suspend access at once if it is needed to stop a security threat or to comply with the law.
  • Sections 6, 9, 10, 11 and 12 continue after the agreement ends.

9. Trademarks

Tallira and the Tallira logo are trademarks of Inspirnex LLC. ZATCA and Fatoora are names of the Zakat, Tax and Customs Authority, used here only to describe what Tallira works with.

10. Warranty and liability

  • We provide Tallira with reasonable skill and care. If it does not work as your quotation describes, tell us; we will fix it, and if we cannot within a reasonable time, we refund the fees you paid for the part that does not work.
  • Apart from that, Tallira is provided as it is, to the extent the law allows.
  • We are not liable for lost profits, lost revenue, lost data you could have restored from your backups, or any indirect or consequential loss.
  • We are not liable for tax, fines or penalties that result from the information or settings you enter, or from obligations section 5 leaves with you.
  • Our total liability under this agreement is limited to the fees you paid us in the 12 months before the claim.
  • Nothing in these terms limits liability for fraud or wilful misconduct, or any liability the law does not allow to be limited.

11. Law and disputes

The laws of the Kingdom of Saudi Arabia govern these terms. If a dispute arises, we will first try to settle it by talking for 30 days. If that fails, the competent courts of the Kingdom of Saudi Arabia decide it. This does not take away rights you have under the mandatory laws of the country where you do business.

12. General

  • These terms are published in English and Arabic. If the two differ, the English version applies.
  • We may update these terms by publishing a new version here with a new date. For a current customer, a change applies from the next renewal, unless the law or security requires it sooner; if a change matters to you, we tell you by email first.
  • If a court finds part of these terms unenforceable, the rest still applies.
  • You may not transfer this agreement without our written consent. We may transfer it to a buyer of Tallira or of Inspirnex.
  • Notices to us go to hello@tallira.app. Notices to you go to the email address in your quotation.
